1. Acceptance of Terms

By accessing or using CloneICP ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Description of Service

CloneICP is an AI-powered prospect discovery tool that helps you find people similar to your ideal customers. The Service uses semantic search and machine learning to analyze profiles and identify potential matches based on characteristics you describe.

CloneICP is primarily a discovery tool. We help you find the right people based on professional signals and patterns. Optional enrichment features may provide additional profile information (such as social media links) for discovered prospects.

3. User Accounts

To use certain features, you must create an account. You agree to:

Provide accurate and complete registration information
Keep your password secure and confidential
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Credits and Payment Terms

4.1 Credit-Based Model

CloneICP operates on a credit-based system. Credits are purchased as one-time transactions and used to perform searches and enrichments. There are no recurring subscriptions or monthly billing cycles.

4.2 Credit Purchases

Credits can be purchased in bundles at prices shown on our pricing page. All payments are processed securely via Stripe. Fees are in US dollars and are non-refundable except as stated in our Refund Policy.

4.3 Credit Usage

Credits are consumed when you perform actions in the Service:

Each search costs 10 credits
Each enrichment (fetching additional profile data) costs 3 credits

Credit costs may change with 30 days notice. Existing credits remain valid at their original value regardless of price changes.

4.4 Credit Expiration

Credits do not expire. Once purchased, credits remain in your account until used. Credits are non-transferable between accounts.

5. Usage Limits and Fair Use

To prevent abuse and ensure service quality, we may impose reasonable daily or hourly limits on search and enrichment requests. These limits apply regardless of credit balance.

You agree not to:

Share account credentials with others
Use automated tools to access the Service beyond normal browser use
Attempt to circumvent usage or rate limits
Resell or redistribute Service outputs commercially
Use the Service for any illegal purpose

6. Intellectual Property

6.1 Our Content

The Service, including its software, design, logos, and documentation, is owned by CloneICP and protected by intellectual property laws. You may not copy, modify, or distribute our content without permission.

6.2 Your Data

You retain ownership of any data you input into the Service. By using the Service, you grant us a limited license to process your data as needed to provide the Service.

6.3 Search Results

Search results are provided for your personal or internal business use. You may export and use result data in accordance with your credit balance and applicable laws.

7. Data Usage and Sources

We collect and process data as described in our Privacy Policy. By using the Service, you consent to such processing.

7.1 Search Result Sources

Search results are sourced from publicly available web data via Exa AI semantic search. We do not scrape private databases, access password-protected content, or harvest data from sources that prohibit such access. All prospect information displayed comes from public professional profiles, company websites, and other openly accessible sources.

7.2 AI Processing

We use third-party AI services (including Anthropic Claude and Exa AI) to analyze your search queries and identify matching prospects. Your queries may be processed by these services to deliver results. We do not sell your personal data or search history.

8. Prohibited Uses

You may not use the Service to:

Harass, stalk, or intimidate any individual
Send unsolicited bulk communications (spam)
Engage in discrimination based on protected characteristics
Violate any applicable laws or regulations
Infringe on the intellectual property rights of others
Collect data about individuals for unlawful purposes
Attempt to gain unauthorized access to our systems

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT:

Search results will be accurate or complete
The Service will be uninterrupted or error-free
Results will lead to successful business outcomes

Search results are based on publicly available information and AI analysis. Results may contain inaccuracies. You are responsible for verifying information before use.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLONEICP SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, or consequential damages
Loss of profits, data, or business opportunities
Any damages exceeding the fees you paid in the 12 months preceding the claim

Some jurisdictions do not allow certain liability limitations. In such cases, our liability shall be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold CloneICP harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. Upon termination:

Your right to use the Service immediately ceases
We may delete your account data after a reasonable retention period
Provisions that should survive termination will remain in effect

13. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

Good faith negotiation between the parties
If negotiation fails, binding arbitration under AAA Commercial Arbitration Rules

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or website notice at least 30 days before taking effect. Your continued use after changes indicates acceptance.
